Der Vorstand der A.H.T. Syngas Technology N.V. (“A.H.T.”), mit Sitz in Eindhoven, Niederlande, (ISIN NL0010872388, WKN A12AGY) hat auf Grundlage der Ermächtigung der Hauptversammlung vom 31. August 2021 die Ausgabe einer Wandelschuldverschreibung im Gesamtnennbetrag von bis zu EUR 2 Mio. („WSV 2026/2029“), unter Ausschluss des gesetzlichen Bezugsrechts der Aktionäre beschlossen. Die WSV 2026/2029 hat eine dreijährige Laufzeit und sieht eine jährliche Festverzinsung in Höhe von fünf Prozent sowie das Recht der Wandelanleihegläubiger vor, die Wandelanleihe zu einem Wandlungspreis in Höhe von EUR 1,25 nach Maßgabe der relevanten Anleihebedingungen in bis zu 1.600.000 Aktien der Gesellschaft zu wandeln. Die Gesellschaft beabsichtigt den Emissionserlös aus der Wandelschuldverschreibung in erster Linie zur Finanzierung der aktuellen Projekte zu verwenden. Diese Kapitalerhöhung soll das Geschäft und die Handlungsmöglichkeiten der A.H.T. stärken, indem sie das Wachstum der Firma und die Finanzierung aktueller Projekte unterstützt. Dazu gehören der Aufbau des Contracting-Modells, die Vorbereitung von Projekten sowie die weitere Erschließung des wachsenden Marktes für den Ersatz von Erdgas, und Treibhausgas positive Energieerzeugung.
