EQS-Ad-hoc: H2APEX Group SCA / Schlagwort(e): Kapitalerhöhung/Kapitalmaßnahme H2APEX Group SCA – Ad-hoc-Mitteilung vom 23. April 2025 Grevenmacher, 23. April 2025 / 20:10 MESZ – Die H2APEX Group SCA ("H2APEX") als Darlehensnehmer hat heute mit ihrem Aktionär Active Ownership Fund SICAV SIF SCS einen Darlehensvertrag über insgesamt EUR 20,000,000 abgeschlossen. Das Darlehen ist unbesichert und wird mit 7,00% verzinst. Der Darlehensvertrag beinhaltet das Recht des Darlehensgebers, die Wandlung der ausstehenden Darlehenssumme (einschließlich aufgelaufener Zinsen) in Aktien der H2APEX zu einem Wandlungspreis von EUR 2,20 je Aktie zu verlangen. Weiterhin hat ein Investor der Atlan-Gruppe, die ca. 36,50% des Grundkapitals der H2APEX hält, der H2APEX heute eine Patronatserklärung über zusätzliche EUR 15,000,000 gewährt. Um das Fundament für die weitere Entwicklung ihres Geschäftsmodells zu legen, bereitet die H2APEX eine Kapitalerhöhung mit einem angestrebten Bruttoemissionserlös von EUR 30,000,000 vor. Nach den derzeitigen Planungen wird die Kapitalerhöhung im Juni 2025 zu einem Zeichnungspreis von EUR 2,20 je H2APEX-Aktie durchgeführt, wobei die Aktien unter Ausschluss des Bezugsrechts bei institutionellen Anlegern platziert werden sollen. Die Wandlung des Darlehens in Höhe von EUR 20,000,000 zuzüglich aufgelaufener Zinsen wird voraussichtlich Teil dieser Kapitalerhöhung werden. Soweit sich die Investoren der Atlan Gruppe an der Kapitalerhöhung beteiligen, reduzieren ihre Zeichnungsbeträge die Verpflichtungen unter der Patronatserklärung entsprechend.
