EQS-Ad-hoc: ProSiebenSat.1 Media SE / Schlagwort(e): Übernahmeangebot Unterföhring, 28. Juli 2025. MFE-MEDIAFOREUROPE N.V. („MFE“) hat heute ihre Entscheidung bekanntgegeben, die Gegenleistung für ihr freiwilliges öffentliches Übernahmeangebot an die Aktionär:innen der ProSiebenSat.1 Media SE zu erhöhen. Laut Mitteilung von MFE wird die Aktienkomponente der Gegenleistung von bislang 0,4 MFE-A-Aktien pro ProSiebenSat.1-Aktie um 0,9 MFE-A-Aktien auf insgesamt 1,3 MFE-A-Aktien je ProSiebenSat.1-Aktie erhöht. Die Barkomponente bleibt unverändert bei 4,48 Euro pro ProSiebenSat.1-Aktie.
Der Vorstand begrüßt die angekündigte Erhöhung der Angebotsgegenleistung, die das langfristig angelegte Investment und fortgesetzte Engagement von MFE in ProSiebenSat.1 unterstreicht. Basierend auf dem Schlusskurs der MFE-A-Aktie an der Börse Euronext Mailand von 2,82 Euro am 25. Juli 2025, dem letzten Handelstag vor Bekanntgabe der Erhöhung, hat die erhöhte Gegenleistung einen impliziten Wert von circa 8,15 Euro pro ProSiebenSat.1-Aktie. Die Angebotsgegenleistung entspricht damit einer Prämie von circa 15,8 Prozent auf den Xetra-Schlusskurs der ProSiebenSat.1-Aktie von 7,04 Euro am 25. Juli 2025 und einer Prämie von circa 24,8 Prozent auf den Xetra-Schlusskurs von 6,53 Euro am 26. März 2025, dem letzten Schlusskurs vor der Ankündigung des ursprünglichen MFE-Angebots. Das öffentliche Erwerbsangebot in Form eines Teilangebots der PPF IM Limited bleibt unverändert bei 7,00 Euro in bar je ProSiebenSat.1-Aktie. Nach Veröffentlichung und Prüfung der formellen Änderung des Angebots werden Vorstand und Aufsichtsrat der Gesellschaft ihre jeweils gesetzlich vorgeschriebene begründete Stellungnahme zu dem vom MFE angekündigten, geänderten Angebot abgeben.
