Company: ProSiebenSat.1 Media SE Germany registered with the commercial register of the local court (Amtsgericht) of Munich, Germany under HRB 219439 WKN PSM777 / ISIN DE000PSM7770 PPF IM LTD, an indirect subsidiary of PPF Group N.V., has decided today to make a public acquisition offer (öffentliches Erwerbsangebot) in the form of a partial offer to the shareholders of ProSiebenSat.1 Media SE ("ProSiebenSat.1") for the acquisition of a number of no-par value shares of ProSiebenSat.1 (ISIN DE000PSM7770) yet to be determined to achieve a shareholding in ProSiebenSat.1 of up to 29.99%, each share representing a proportionate amount of EUR 1.00 of the share capital of ProSiebenSat.1 against payment of a cash offer price of EUR 7.00 per share (the "Offer"). The Offer will be subject to customary conditions in particular merger control clearances. The offer document for the Offer (in the German language and a non‑binding English translation thereof) and other information relating to the Offer will be published on the internet at www.prism-offer.com. Important Notice This announcement is neither an offer to purchase nor a solicitation of an offer to sell shares in ProSiebenSat.1.
