Der Vorstand der flatexDEGIRO AG („Gesellschaft“) strebt eine Verschmelzung der konzerneigenen flatexDEGIRO Bank AG auf die börsennotierte Gesellschaft im Laufe des Jahres 2026 an. Diese Maßnahme soll die organisatorischen Strukturen vereinfachen und weitere Effizienzsteigerungen ermöglichen. Die strategische und operative Ausrichtung von flatexDEGIRO als führende Plattform für den Vermögensaufbau in Europa bleibt unverändert bestehen. Voraussetzung für die mögliche Umsetzung dieser Maßnahme ist zum einen eine Satzungsänderung der Gesellschaft dergestalt, dass der „Gegenstand des Unternehmens“ (§ 2 der Satzung) auf die Ausübung von Bankgeschäften erweitert wird. Zum anderen bedarf es der Gewährung einer Banklizenz für die Gesellschaft durch die relevanten Aufsichtsbehörden, da die bestehende Banklizenz der flatexDEGIRO Bank AG nicht automatisch übertragen werden kann. Die Umsetzung dieser Maßnahme steht darüber hinaus unter dem Vorbehalt der Zustimmung des Aufsichtsrats der Gesellschaft.
