EQS-Adhoc: Bio-Gate AG beschließt und platziert Barkapitalerhöhung

EQS-Ad-hoc: Bio-Gate AG / Schlagwort(e): Kapitalerhöhung/Kapitalerhöhung Ad-hoc-Mitteilung nach Art. 17 Abs. 1 der Verordnung (EU) Bio-Gate AG beschließt und platziert Barkapitalerhöhung Nürnberg, 11. September 2025 – Die Bio-Gate AG (ISIN DE000BGAG981) wird das Grundkapital der Gesellschaft aus genehmigtem Kapital und unter Ausschluss des Bezugsrechts für die Altaktionäre erhöhen. Die neuen Aktien werden vollständig von zwei Investoren gezeichnet. Der Mittelerlös soll ausschließlich der Finanzierung des geplanten Wachstums dienen. Der Vorstand der Bio-Gate AG hat heute mit Zustimmung des Aufsichtsrats beschlossen, das Grundkapital der Gesellschaft von derzeit 9.243.691,00 Euro um 836.059,00 Euro auf 10.079.750,00 Euro durch Ausgabe von 836.059 neuen Aktien zu erhöhen. Das Bezugsrecht für Altaktionäre ist ausgeschlossen worden. Die neuen Aktien werden zu einem Ausgabepreis von 1,00 Euro je Aktie im Rahmen einer Privatplatzierung platziert.
