Bio-Gate AG schließt Kapitalerhöhung aus genehmigtem Kapital sowie Bezugsrechtsemmission ab
Nürnberg, 18. August 2026 – Die Bio-Gate AG (ISIN DE000BGAG0J3) hat heute die Kapitalerhöhung aus genehmigtem Kapital sowie die von der Hauptversammlung am 30. Juni 2026 beschlossene Bezugsrechtsemission abgeschlossen. Insgesamt wurden 415.000 neue Aktien zu einem Preis von je 2,80 Euro je Aktie platziert. Der Gesamtbruttoemissionserlös beträgt somit 1.162.000,00 Euro. Das Grundkapital der Bio-Gate AG wird sich durch die beiden Kapitalmaßnahmen von 2.038.738,00 Euro um insgesamt 415.000,00 Euro auf 2.453.738,00 Euro erhöhen.
Der Vorstand der Bio-Gate AG hat heute mit Zustimmung des Aufsichtsrats beschlossen, das Grundkapital der Gesellschaft durch Ausgabe von 171.429 neuen Aktien aus genehmigtem Kapital um 171.429,00 Euro zu erhöhen. Das Bezugsrecht für Altaktionäre ist ausgeschlossen worden. Die neuen Aktien wurden zu einem Preis von 2,80 Euro je Aktie im Rahmen einer Privatplatzierung platziert. Der Bruttoemissionserlös aus dieser Kapitalerhöhung beträgt somit 480.001,20 Euro und wird wie angekündigt vollumfänglich kurzfristigen Investitionen dienen.
Im Rahmen der von der Hauptversammlung am 30. Juni 2026 beschlossenen ordentlichen Kapitalerhöhung in Form einer Bezugsrechtsemission wurden insgesamt 243.571 neue Aktien zu einem Preis von 2,80 Euro je Aktie emittiert. Der Bruttoemissionserlös aus dieser Kapitalerhöhung beträgt somit 681.998,80 Euro und dient der Stärkung des Eigenkapitals und schafft somit finanziellen Spielraum für weitere Investitionen.
