EQS-Ad-hoc: Fonterelli SPAC 4 AG / Schlagwort(e): Kapitalmaßnahmen / Sonstige Der Vorstand hat heute einen Vorvertrag mit einem US-Investor unterzeichnet, der sich zur Zeichnung einer Wandelanleihe im Gegenwert von über 200.000,00 USD verpflichtet hat. Der Wandlungspreis beträgt 6,00 € pro Aktie. Die Gesellschaft kann zum Laufzeitende die Wandlung erklären. Die Ausgabe der Wandelanleihe erfolgt nach Eintragung der am 13.5.2026 durch die Hauptversammlung beschlossenen Sachkapitalerhöhung und nach Eintragung des bedingten Kapitals in das Handelsregister. Die Wandelanleihe kann auch anderen Investoren im Rahmen einer Privatplatzierung angeboten werden.
