maxx26 AG (vormals Binect AG): Umfirmierung und Kapitalmaßnahmen - Ehemalige Binect AG setzt erste Beschlüsse der Hauptversammlung 2026 um
Weiterstadt, 25.08.2026. Mit der Umfirmierung in maxx26 AG hat die ehemalige Binect AG (ISIN: DE000A3H2135) damit begonnen, die Beschlüsse der diesjährigen ordentlichen Hauptersammlung umzusetzen. Am 30. Juli 2026 hatten die teilnehmenden Aktionäre allen Beschlussanträgen mit sehr großer Mehrheit zugestimmt. Die Namensänderung ist ab sofort wirksam und wird in den kommenden Tagen operativ vollzogen. Ebenfalls gemäß HV-Beschluss wurde zudem eine Kapitalerhöhung aus Gesellschaftsmitteln ohne Ausgabe neuer Aktien vorgenommen, indem ein Teilbetrag der gebundenen Kapitalrücklagen in Höhe von EUR 4.650.000,- in Grundkapital umgewandelt wurde. Das Grundkapital erhöht sich damit zunächst auf EUR 7.865.715,-. Im nächsten Schritt wurde eine ordentliche Kapitalherabsetzung auf EUR 3.215.715,- vorgenommen. Der Herabsetzungsbetrag wurde in die freie Kapitalrücklage eingestellt. Mit diesen beiden Schritten sind die Voraussetzungen für die zu einem späteren Zeitpunkt geplanten Aktienrückkäufe geschaffen, deren Umsetzung nach dem Vollzug der beschlossenen Transaktion (Verkauf der Binect GmbH) erfolgen soll.
