  • The 2026 Annual General Meeting approves all proposed resolutions, each with more than 83% of the valid votes cast

 Frankfurt am Main, August 21, 2026. The Annual General Meeting of Brockhaus Technologies AG (BKHT, ISIN: DE000A2GSU42, “Brockhaus Technologies” or the “Company”) approved all proposed resolutions on August 19, 2026, each with more than 83% of the valid votes cast. These include, in particular, a package of measures intended to enable the net proceeds from the successful disposals of Palas GmbH and the Bikeleasing Group to be returned to shareholders.

As a first step, the approved measures provide for the Company to repurchase its own shares in the fiscal year 2026 by way of a public share buyback offer at an expected offer price of €24 per share and with an aggregate volume of up to €90 million. The repurchased shares are subsequently to be cancelled. Shareholders are free to decide whether to sell their shares at the offer price or benefit from a higher percentage interest in the Company in the future. The Company will inform its shareholders of further details in due course.

Furthermore, the Annual General Meeting approved the proposed balance-sheet optimization, which provides for the transfer of approximately €183 million from the capital reserve to the freely available capital reserves. The balance-sheet optimization creates additional flexibility for strategic growth initiatives and potential returns of capital to shareholders in 2027.
