Branicks Group AG: Einleitung des Prozesses zum Abschluss eines Beherrschungs- und Gewinnabführungsvertrags zwischen DIC Real Estate Investments GmbH & Co. KGaA und VIB Vermögen AG
Frankfurt, 30. Oktober 2025 – Die DIC Real Estate Investments GmbH & Co. Kommanditgesellschaft auf Aktien („DIC REI KGaA“), eine 100%-ige Tochtergesellschaft der Branicks Group AG („Branicks“), ISIN: DE000A1X3XX4, und die VIB Vermögen AG („VIB“) sind heute übereingekommen, Gespräche über den Abschluss eines Beherrschungs- und Gewinnabführungsvertrags nach § 291 AktG zwischen der DIC REI KGaA als herrschendem und der VIB als beherrschtem Unternehmen aufzunehmen und die erforderlichen Vorbereitungsmaßnahmen zu treffen. In dem Beherrschungs- und Gewinnabführungsvertrag soll den außenstehenden Aktionären der VIB von der DIC REI KGaA für die Dauer des Vertrages eine jährliche Ausgleichszahlung gewährt werden. Außerdem soll der Vertrag ein Angebot auf den Erwerb der Aktien der außenstehenden Aktionäre der VIB gegen eine Abfindung in Form von neu auszugebenden Aktien der Branicks vorsehen. Zu deren Bereitstellung soll ein bedingtes Kapital der Branicks geschaffen werden. Aktuell sind außenstehende Aktionäre mit rund 31,25% an der VIB beteiligt. Die endgültige Ausgestaltung der jährlichen Ausgleichszahlung und der Abfindungsregelung im Vertrag werden von der DIC REI KGaA und der VIB in Übereinstimmung mit den rechtlichen Anforderungen festgelegt. Branicks geht davon aus, dass jeweils im Februar 2026 außerordentliche Hauptversammlungen der VIB um die erforderliche Zustimmung bzw. der Branicks um die erforderliche Beschlussfassung gebeten werden.
