Nach Abschluss der Arbeiten des gemeinsam beauftragten Bewertungsgutachters haben sich die Vectron Systems AG ("Vectron") und die Shift4-Unternehmensgruppe („Shift4“) heute über die Höhe von Abfindung und fester Ausgleichszahlung im Rahmen des am 26. September 2024 angekündigten Beherrschungs- und Gewinnabführungsvertrags zwischen Vectron als abhängiger Gesellschaft und ihrer Mehrheitsaktionärin geeinigt.
Der Aufsichtsrat der Vectron Systems AG hat heute zugestimmt, den außenstehenden Aktionären in dem Beherrschungs- und Gewinnabführungsvertrag eine Abfindung in Höhe von von EUR 10,93 je Vectron-Aktie anzubieten. Des Weiteren haben sich die Vectron und Shift4 mit Zustimmung des Aufsichtsrats geeinigt, dass an die außenstehenden Vectron-Aktionäre eine jährliche feste Ausgleichszahlung in Höhe von EUR 0,47 brutto (bzw. EUR 0,40 netto nach Abzug aktueller Körperschaftsteuer und Solidaritätszuschlag) pro Aktie für jedes volle Geschäftsjahr gezahlt werden wird. Der Beherrschungs- und Gewinnabführungsvertrag bedarf zu seiner Wirksamkeit der Zustimmung der Vectron-Hauptversammlungen, die für den 25. April 2025 einberufen wird, sowie der Eintragung in das Handelsregister der Vectron. Die Einberufung wird heute veröffentlicht werden. Die Gesellschafterversammlung der Hauptaktionärin hat bereits zugestimmt.
