EQS-Ad-hoc: MBB SE / Schlagwort(e): Aktienrückkauf Veröffentlichung einer Insiderinformation gemäß Artikel 17 MAR MBB SE beschließt Aktienrückkaufprogramm in Höhe von maximal 22 Mio. € bis zu 222 € pro Aktie Berlin, 09. Dezember 2025 – MBB SE (ISIN DE000A0ETBQ4), ein mittelständisches Familienunternehmen, hat heute beschlossen, von der Ermächtigung der Hauptversammlung vom 17. Juni 2025 zum Erwerb eigener Aktien gemäß § 71 Abs. 1 Nr. 8 AktG Gebrauch zu machen. Das Unternehmen beabsichtigt vor dem Hintergrund der substanziellen Unterbewertung der MBB Aktie sowie der starken Kapitalausstattung, ab dem 11. Dezember 2025 eigene Aktien mit einem Volumen von maximal 22,0 Mio. € bis zu einem Preis von 222,00 € pro Aktie über die Börse zurückzukaufen. Das Aktienrückkaufprogramm soll spätestens am 14. April 2026 enden. Der Aktienrückkauf erfolgt nach Maßgabe der Safe-Harbour-Regelungen des Artikels 5 der Verordnung (EU) Nr. 596/2014 des Europäischen Parlaments und Rates vom 16. April 2014 in Verbindung mit den Bestimmungen der Delegierten Verordnung (EU) 2016/1052 der Kommission vom 8. März 2016.
