SEDLMAYR GRUND UND IMMOBILIEN AKTIENGESELLSCHAFT München Wertpapier-Kennnummer 722400 ISIN DE0007224008
Die Wirksamkeit sämtlicher Beschlüsse der ordentlichen Hauptversammlung der Sedlmayr Grund und Immobilien AG („Gesellschaft“) vom 13. Mai 2025 – einschließlich des Gewinnverwendungsbeschlusses unter Tagesordnungspunkt 2 – stand unter der aufschiebenden Bedingung, dass gegen den jeweiligen Beschluss nicht fristgerecht Anfechtungsklage erhoben wird. Das Landgericht München I hat der Gesellschaft mitgeteilt, dass die Beschlüsse der Hauptversammlung, insbesondere der Gewinnverwendungsbeschluss, fristgerecht angefochten wurden. Die jeweilige aufschiebende Bedingung ist aufgrund dessen nicht eingetreten und die Beschlüsse vom 13. Mai 2025, insbesondere der Gewinnverwendungsbeschluss, sind daher unwirksam. Die Gesellschaft hat mit Bekanntmachung im Bundesanzeiger vom 10. Juni 2025 vorsorglich zu einer ordentlichen Hauptversammlung am Freitag, dem 18. Juli 2025, um 10:00 Uhr (MESZ) im Haus der Bayerischen Wirtschaft, Max-Joseph-Straße 5 in 80333 München eingeladen. Diese Hauptversammlung wird einladungsgemäß stattfinden.
