EQS-Ad-hoc: RWE Aktiengesellschaft / Schlagwort(e): Aktienrückkauf RWE beschließt Aktienrückkauf im Volumen von bis zu 1,5 Mrd. EUR Der Vorstand der RWE Aktiengesellschaft hat heute ein Aktienrückkaufprogramm mit einem Volumen von bis zu 1,5 Mrd. EUR beschlossen. Der Rückkauf soll noch im laufenden Jahr beginnen und innerhalb von 18 Monaten abgeschlossen werden, vorbehaltlich einer erneuten Ermächtigung zum Rückkauf eigener Aktien durch die Hauptversammlung am 30. April 2025. Es ist beabsichtigt, die zurückgekauften Aktien einzuziehen. Das Rückkaufprogramm basiert auf der Ermächtigung der Hauptversammlung vom 4. Mai 2023, die die Gesellschaft ermächtigt, bis zum 3. Mai 2025 Aktien im Umfang von bis zu 10 % des Grundkapitals zu erwerben. Die Gesellschaft beabsichtigt, der Hauptversammlung am 30. April 2025 eine erneute Ermächtigung zum Rückkauf vorzuschlagen. Der Erwerb soll unter Inanspruchnahme der „Safe Harbour“-Ausnahme für Rückkaufprogramme nach Artikel 5 der Marktmissbrauchsverordnung (Verordnung (EU) Nr. 596/2014) abgewickelt werden.
