EQS-Ad-hoc: CHAPTERS Group AG / Key word(s): Capital Increase Today, the Management Board (with the approval of the Supervisory Board) of CHAPTERS Group AG (ISIN: DE0006618309) resolved a capital increase from authorized capital with the exclusion of subscription rights by issuing 384,906 new shares against contributions in kind and making partial use of EUR 384,906.00 of the existing authorized capital of EUR 11,728,623.00. The contribution in kind against 384,906 new shares relates to a loan repayment claim from a vendor loan in the amount of EUR 13,471,710.00 in connection with the acquisition of shares from former Fintiba GmbH shareholders in the newly established Financial Technologies Segment, created through the merger of Fintiba GmbH and Expatrio Global Services GmbH, as communicated on May 22, 2025.
