EQS-Ad-hoc: Covestro AG / Schlagwort(e): Squeeze-Out XRG P.J.S.C. hat der Covestro AG heute mitgeteilt, dass die Hauptversammlung der Covestro AG die Übertragung der Aktien der Minderheitsaktionäre auf die XRG P.J.S.C. gegen Gewährung einer angemessenen Barabfindung gemäß § 327a Abs. 1 Satz 1 AktG beschließen soll (aktienrechtlicher Squeeze-Out).
Die XRG P.J.S.C. ist gemeinsam mit ihrer mittelbaren hundertprozentigen Tochtergesellschaft, der ADNOC International Germany Holding AG, mit rund 95,10 % am Grundkapital der Covestro AG beteiligt und ist damit deren Hauptaktionärin im Sinne des § 327a Abs. 1 Satz 1 AktG. Das Wirksamwerden des aktienrechtlichen Squeeze-out hängt unter anderem von dem zustimmenden Beschluss der Hauptversammlung der Covestro AG und der Eintragung des Übertragungsbeschlusses in das Handelsregister ab. Die Höhe der angemessenen Barabfindung, die die Hauptaktionärin den Minderheitsaktionären der Covestro AG für die Übertragung der Aktien gewähren wird, steht derzeit noch nicht fest und wird zu einem späteren Zeitpunkt mitgeteilt.
