EQS-Ad-hoc: Fresenius Medical Care AG / Schlagwort(e): Aktienrückkauf Bad Homburg, 17. Juni 2025 - Die Fresenius Medical Care AG („Gesellschaft“) hat beschlossen, ein Aktienrückkaufprogramm mit einem Volumen von EUR 1 Milliarde (ohne Erwerbsnebenkosten) in mehreren Tranchen innerhalb von zwei Jahren ab dem Start des Programms durchzuführen. Es ist geplant, die Durchführung des Aktienrückkaufprogramms in mehreren Tranchen im zweiten Halbjahr 2025 zu beginnen. Die Aktien sollen über die Börse erworben und vornehmlich eingezogen werden und können in erheblich geringerem Umfang für Zuteilungen im Rahmen von leistungsorientierten Vergütungsplänen verwendet werden. Grundlage für das Aktienrückkaufprogramm ist die von der Hauptversammlung der Gesellschaft am 20. Mai 2021 erteilte Ermächtigung zum Erwerb und zur Verwendung eigener Aktien. Die Fortführung des Aktienrückkaufprogramms über die aktuelle Ermächtigung hinaus steht unter dem Vorbehalt der erforderlichen Beschlüsse der Organe der Gesellschaft.
