EQS-Adhoc: Continental AG stimmt Abspaltung von Automotive zu und fasst Beschlüsse zur Kapitalausstattung sowie zur künftigen Dividendenpolitik

EQS-Ad-hoc: Continental AG / Schlagwort(e): Strategische Unternehmensentscheidung Hannover, 12. März 2025. Der Aufsichtsrat der Continental AG hat in seiner heutigen Sitzung im Zuge seiner positiven Entscheidung über die Durchführung der Abspaltung des zukünftigen Automotive-Konzerns („Spin-off“) und dem Abschluss der damit im Zusammenhang stehenden Verträge der Entscheidung des Vorstands zugestimmt, dass der zukünftige Automotive-Konzern vor Vollzug des Spin-off mit Barmitteln in Höhe von 1,5 Milliarden Euro ausgestattet sein wird. Die jeweiligen Chancen und Risiken werden geschäftsbezogen klar zu den beiden zukünftig unabhängigen Unternehmen zugeordnet. Ferner hat der Aufsichtsrat heute der vom Vorstand vorgeschlagenen Dividendenpolitik der beiden zukünftigen Konzerne zugestimmt. Für die Dividendenausschüttungen der Continental AG wird ein Zielkorridor von 40% bis 60% des Konzerngewinns angestrebt. Für den zukünftigen Automotive-Konzern wird eine Ausschüttungsquote von 10% bis 30% des Konzerngewinns angestrebt, soweit solche Dividendenzahlungen mit einer langfristigen und nachhaltigen Geschäftsentwicklung in Einklang zu bringen sind.
