CENIT AG erwirbt Mehrheitsanteile an der ISR Information Products AG
Stuttgart, 03. April 2022 - Die CENIT Aktiengesellschaft (ISIN: DE0005407100) hat heute einen Kaufvertrag über den Erwerb von 74,9% der Anteile der ISR Information Products AG abgeschlossen. Mit der Beteiligung sollen die Kompetenzen beider Unternehmen auf dem Gebiet Dokumentenlogistik und Informationsmanagement gebündelt werden. Den Kaufpreis in Höhe von rund 28 Mio. EUR wird CENIT teilweise aus bestehenden liquiden Mitteln sowie teilweise durch Bankdarlehen finanzieren. Für die übrigen 25,1% Aktienanteile werden CENIT Vorkaufsrechte und Kaufoptionen sowie den Verkäufern Verkaufsoptionen eingeräumt. Der Aktienkauf steht unter dem Vorbehalt der Genehmigung durch das Bundeskartellamt. Die ISR Information Products AG mit Hauptsitz in Braunschweig bietet Software-Produkte und IT-Lösungen in den Bereichen Analytics, Prozess-Digitalisierung und Application Management an. Sie hat sechs Standorte in Deutschland, beschäftigt 200 Mitarbeiter und erwirtschaftete im Geschäftsjahr 2021 nach vorläufigen Zahlen einen Umsatz von 22,8 Mio. EUR sowie ein EBIT von 3,2 Mio. EUR. Die ISR wird weiterhin unter eigenem Namen mit dem Zusatz "a CENIT company" firmieren. Aufgrund der Übernahme hebt CENIT seine Prognose deutlich an und erwartet nunmehr für das Geschäftsjahr 2022 einen Umsatz von ca. 170 Mio. EUR bei einem voraussichtlichen EBIT von ca.
