Dreieich, 23. Oktober 2025. Die Biotest AG gibt bekannt, dass ihre Großaktionärin, die Grifols S.A., Barcelona, Spanien, am 22. Oktober 2025 mitgeteilt hat, dass sie das Verlangen zur Einberufung einer außerordentlichen Hauptversammlung vom 1. August 2025 zurücknimmt. Außerdem hat die Grifols S.A. im selben Schreiben mitgeteilt, dass sie erneut verlangt, eine außerordentliche Hauptversammlung einzuberufen, um über den Formwechsel der Biotest AG von einer Aktiengesellschaft in eine Kommanditgesellschaft auf Aktien (KGaA) zu beschließen. Der Aufsichtsrat wurde umgehend über den Eingang des Schreibens informiert. Der Vorstand hat mit Zustimmung des Aufsichtsrats beschlossen, die für den 28. Oktober 2025 einberufene außerordentliche Hauptversammlung der Biotest AG abzusagen. Der Vorstand wird das neue Verlangen der Grifols S.A. gemäß § 122 Abs. 1 AktG, eine außerordentliche Hauptversammlung zur Beschlussfassung über den Formwechsel der Gesellschaft in die Rechtsform der Kommandit-gesellschaft auf Aktien (KGaA) einzuberufen, sorgfältig prüfen. Sollte das neue Einberufungsverlangen zulässig sein, wird der Vorstand erneut eine außerordentliche Hauptversammlung einberufen. Die Einzelheiten werden von der Gesellschaft veröffentlicht. Über Biotest Biotest ist ein Anbieter von biologischen Arzneimitteln, die aus menschlichem Plasma gewonnen werden. Mit einer Wertschöpfungskette, die von der vorklinischen und klinischen Entwicklung bis zur weltweiten Vermarktung reicht, hat sich Biotest vorrangig auf die Anwendungsgebiete Klinische Immunologie, Hämatologie und Intensiv- und Notfallmedizin spezialisiert. Biotest entwickelt und vermarktet Immunglobuline, Gerinnungsfaktoren und Albumin, die auf Basis menschlichen Blutplasmas produziert werden und bei Erkrankungen des Immunsystems oder der blutbildenden Systeme zum Einsatz kommen. Biotest beschäftigt weltweit mehr als 2.500 Mitarbeiter. Seit Mai 2022 ist Biotest Teil der Grifols Gruppe, Barcelona, Spanien (www.grifols.com).
