OFFENLEGUNG REGULIERTER INFORMATIONEN Betreff: Änderung der Firma der Gesellschaft „Sirma Group“ JSC (vormals „Sirma Group Holding“ JSC) Emittent: „Sirma Group“ JSC · ISIN: BG1100032140 · Börsenkürzel (BSE, FSE): SIRM Rechtsgrundlage: Art. 17 der Verordnung (EU) Nr. 596/2014 (MAR) Datum: 7. Juli 2026
Aufgrund eines Beschlusses der ordentlichen Hauptversammlung der Aktionäre vom 18. Juni 2026 (Tagesordnungspunkt 7) sowie der Eintragung Nr. 20260706115808 im Handelsregister vom 6. Juli 2026 wurde die Firma der Gesellschaft von „Sirma Group Holding“ JSC in „Sirma Group“ JSC geändert. Die Änderung wird mit dem Tag der Eintragung, dem 6. Juli 2026, wirksam. Ab diesem Datum ist die Firma der Gesellschaft ausschließlich als „Sirma Group“ JSC in allen Dokumenten, Verträgen und in der Korrespondenz zu verwenden. Die Änderung betrifft ausschließlich die Firma der Gesellschaft. Die Gesellschaft behält ihre Rechtspersönlichkeit sowie sämtliche Rechte und Pflichten. Die ISIN (BG1100032140) bleibt unverändert; das Börsenkürzel (SIRM) bleibt ebenfalls unverändert. Für die Aktionäre besteht kein Handlungsbedarf. Mit demselben Beschluss und derselben Eintragung änderte die Gesellschaft zudem ihren Unternehmensgegenstand und hob ihren besonderen Holdingzweck gemäß Art. 277 des Handelsgesetzes auf; die Gesellschaft ist somit keine Holdinggesellschaft mehr.
