PIERER Mobility AG: EU-Kommission leitet kein eingehendes Prüfungsverfahren nach der Drittstaatssubventionsverordnung ein
Die Bajaj Auto International Holdings B.V. hat am 22. Mai 2025 mit der Pierer Industrie AG eine Call-Optionsvereinbarung abgeschlossen, welche es der Bajaj Auto International Holdings B.V. ermöglicht, spätestens bis Ende Mai 2026 alle Anteile der Pierer Industrie AG an der Pierer Bajaj AG und somit indirekt die Kontrolle über die PIERER Mobility AG zu erwerben (die „Call-Option“).
Bajaj Auto International Holdings B.V. hat die Gesellschaft soeben informiert, dass ihr die Europäische Kommission am 10. November 2025 mitgeteilt hat, dass keine eingehende Prüfung gem. Art 11 Verordnung 2022/2560 eingeleitet wird und der Vollzug des Zusammenschlusses ab dem 11. November 2025 vollzogen werden darf. Damit steht der Übernahme der Anteile von der Pierer Industrie AG (50,1 Prozent) an der Pierer Bajaj AG nichts mehr im Weg. Die Bajaj Auto International Holdings B.V. wird damit – sobald das Closing formell erfolgt ist – alleiniger Eigentümer der Pierer Bajaj AG. Unverändert wird die Pierer Bajaj AG weiterhin 74,9 Prozent an der KTM-Mutter PIERER Mobility AG halten. Das Closing des Kontrollwechsels wird in den kommenden Wochen erwartet.
