Ennoconn Corporation, die größte Aktionärin der Kontron AG (www.kontron.com) ("Kontron"), hat Kontron am 10. Juni 2026 darüber informiert, dass sie die Schwelle von 30% der Stimmrechte an Kontron überschritten hat und daher verpflichtet ist, allen Aktionären der Kontron ein Pflichtangebot zum Erwerb ihrer Aktien, die an der Frankfurter Wertpapierbörse notieren (ISIN: AT0000A0E9W5; WKN: A0X9EJ), zu unterbreiten. Der Angebotspreis soll bei EUR 23,5 je Aktie in bar liegen. Laut Information der Ennoconn Corporation beabsichtigt diese, die Angebotsunterlage zeitnah zu veröffentlichen. Kontron wird das Pflichtangebot, insbesondere den Angebotspreis, gemäß den gesetzlichen Bestimmungen prüfen und hierzu Stellung nehmen. Der Preis liegt nur um 2,4% über dem Schlusskurs vom 9. Juni 2026 und liegt nach Angabe von Ennoconn Corporation über dem gesetzlich vorgeschriebenen Mindestpreis von EUR 23,48. Laut den rechtlichen Vorgaben wird Kontron vor dem Hintergrund der bevorstehenden Veröffentlichung des Pflichtangebots das am 25. März 2026 bekannt gemachte Aktienrückkaufprogramm ("Aktienrückkaufprogramm I 2026") bis zur Durchführung des Pflichtangebotes mit sofortiger Wirkung pausieren. Hannes Niederhauser, CEO von Kontron, hat bereits erklärt, dass er in Kontron investiert bleibt und das Pflichtangebot in Bezug auf die von ihm gehaltenen Aktien der Kontron im Ausmaß von rund 2,2% des Grundkapitals (1.393.963 Aktien) nicht annehmen wird.
